Legacy Housing Corporation (the “Company”) is unable to file its Form 10-K for the year ended December 31, 2021 (the “Form 10-K ”) in a timely manner without unreasonable effort and expense due to a delay experienced by the Company in completing its financial statements and other disclosures in the Form 10-K. As a result, the Company is still in the process of compiling required information to complete the Form 10-K. The Company has dedicated significant resources to completing its review and the filing of the Annual Report; however, no assurance can be given that the Company will be successful in filing the Annual Report prior to the expiration of the extension period. The Company assumes no duty to update the status of the review until the Annual Report is filed with the SEC.
